Commercial Legal Counsel The candidate will provide legal support and advice on negotiation of distribution agreements, sales and marketing of products and accompanying service solutions, consumer and competition law issues, advertising regulations (specifically relating to medical devices within the region) and other commercial matters focused on the Americas region, including the United States, Canada and Latin America. Provide legal advice on internal processes & projects for all business groups operating out of our offices in San Diego (including Sales, Finance, Operations, and Marketing). Provide local advice to other groups to support the legal business partners responsible for advising those groups. Provide legal support on ad hoc projects as determined by the VP and General Counsel - Americas, Legal Business Partner Sleep & Respiratory Care. Research and advise on laws affecting firm's Corp, use internal legal research skills, draft and negotiate a wide variety of business contracts and agreements and make presentations to business units and staff support groups. Familiarity with the regulatory laws affecting sales of medical devices and services, including Stark, anti-kickback, false claims, Sunshine, FDA, and other regulatory requirements. The candidate must have JD degree from an accredited law school. Should have California admission or eligible for in house designation under California bar requirements. Must have 5+ years of legal experience with a top law firm. In house experience is a plus. Must have litigation, mediation, arbitration and general dispute resolution techniques. Should have experience in medical device, healthcare, digital health, privacy, HIPAA and HITECH. Must have familiarity with contract lifecycle management systems (e.g. Sharepointe, Getting Contracts Done, Apttus), legal department billing systems, as well as newer artificial intelligence contract review tools (e.g. Lawgeex). Digital marketing, including use of social media and online marketing platforms like Facebook, Twitter, Amazon and eBay is required.
