Corporate Attorney The candidate reporting to the Senior Corporate Counsel, provides legal counsel, guidance and support to company and its affiliates on a wide range of business, corporate and insurance industry related matters. Provides legal advice, guidance and support on matters relating to business transactions including preparing and reviewing various legal instruments and documents such as contracts, leases, licensing, non-disclosure agreements, banking and other agreements. Prepares, reviews and counsels on new contracts, amendments of existing agreements, and the application of legacy agreements. Provides legal advice, guidance and support on corporate transactions including capital contributions, acquisitions, consolidations, divestitures and dissolutions such as acting as legal counsel in due diligence reviews of potential acquisitions. Provides legal counsel, guidance and support on employment-related matters. Provides legal advice, guidance and support on regulatory matters, including investments, filings and licensing matters. Provides legal advice, guidance and support on corporate governance matters. Provides legal advice, guidance and counsel to the Director of Compliance on regulatory and corporate developments affecting compliance with internal policies and outside requirements. Establishes and maintains effective working relationships, both internally and externally. Develops creative ideas and solutions to real time business problems and/or business opportunities; takes reasonable, calculated risks even if failure is possible. Empowers self and teammates to continuously improve companys business processes/ systems and develops and escalates ideas and solutions. Consistently delivers superior customer service to both internal and external business partners. Demonstrates alignment with companys Commitments. Prioritizes and organizes work in self-directed manner. Attains and maintains knowledge of assigned department. Performs other duties as required, including supporting and coordinating with other department colleagues. Should have 5-8 years of corporate law experience, preferably within or serving the insurance industry. A Juris Doctorate and admission to a state Bar is required.
